1. Introduction

2. Definitions

• "Platform" or "Service" - The Easy Events website, mobile application, and all related features, tools, and services provided by Easy Events.
• "Event Organizer" or "User" - An individual who registers on the Platform to manage events, guest lists, invitations, budgets, and related event planning tasks.
• "Supplier" - A business or individual who registers on the Platform to list their wedding/event services, manage their business profile, receive leads, and interact with potential clients.
• "Guest" - An individual whose personal information (name, phone number) is uploaded to the Platform by an Event Organizer for the purpose of managing event attendance and sending invitations.
• "Content" - Any information, text, images, documents, videos, or other material uploaded, submitted, or displayed on the Platform by any user.
• "Account" - A registered user account on the Platform, whether Event Organizer or Supplier.
• "Subscription" - A paid plan that unlocks premium features on the Platform, purchased on a per-event basis for Event Organizers or on a recurring basis for Suppliers.
• "Credits" - Units of platform currency purchased or allocated to Supplier accounts, used to access specific platform features such as lead acquisition.
• "Lead" - Contact information and inquiry details of an Event Organizer submitted to a Supplier through the Platform.

3. Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding agreements under Israeli law
• If registering on behalf of a business entity, you have the authority to bind that entity to these Terms

Any use of the Platform by individuals under 18 is strictly prohibited. If we become aware that a user is under 18, we will terminate their account and delete their data.

4. User Accounts

To use certain features of the Platform, you must create an account. When creating and maintaining an account, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Maintain the security and confidentiality of your login credentials and not share them with any third party
• Notify us immediately at support@easyevents.co.il of any unauthorized access to or use of your account
• Accept full responsibility for all activities that occur under your account, whether or not authorized by you
• Not create multiple accounts for the same person or entity, or create accounts on behalf of others without their consent

6. Supplier-Specific Terms

By registering as a Supplier on the Platform, you additionally agree to the following:

6.1 Profile and Legal Compliance

• You are solely responsible for the accuracy, completeness, and legality of all information in your business profile, including business name, description, pricing, images, certifications (e.g., kosher certification), and availability
• You represent and warrant that you hold all licenses, permits, and insurance required by Israeli law to operate your business and provide the services you advertise
• You represent and warrant that you own or have proper authorization to use all images, text, and other content uploaded to your profile, and that such content does not infringe on any third-party intellectual property rights
• You must comply with all applicable Israeli laws, including the Consumer Protection Law, 5741-1981, and the Business Licensing Law, 5728-1968

6.2 Lead Data and Client Privacy

• Lead information provided to you through the Platform is for the sole purpose of responding to that specific inquiry. You may not use lead data for unsolicited marketing, sell it, or share it with third parties
• You must handle all client personal data received through the Platform (including contact details, event information, and signed documents) in accordance with the Protection of Privacy Law, 5741-1981 (as amended). You may not retain client data beyond what is necessary for providing your services, and must delete it upon client request
• Suppliers act as independent data controllers for the personal data they receive through the Platform. Easy Events is not responsible for Suppliers' data processing practices

6.3 Reviews

• You may not solicit, fabricate, or manipulate reviews. You may respond to reviews but may not threaten, harass, or intimidate reviewers
• If you believe a review is defamatory, false, or violates our policies, you may submit a report to support@easyevents.co.il. We will investigate within 14 business days and reserve the right to remove content that violates applicable law or our Terms of Use
• Reviews may be removed if they are found to contain: defamatory or libelous statements, spam or irrelevant content, verified fake reviews (e.g., from someone who did not use the service), personal threats or harassment, or content that violates applicable Israeli law

6.4 Ranking and Visibility

• Supplier listings are displayed based on a combination of factors that may include: subscription tier, relevance to search criteria, completeness of profile, review ratings, response time, geographic proximity, and promotional placements (paid boosts)
• We reserve the right to adjust ranking algorithms at any time. Paid promotional placements and ranking boosts are clearly marked where required by law
• We reserve the right to remove, suspend, or modify any Supplier profile at our sole discretion, including for inaccuracy, inactivity, policy violations, or complaints from users, with or without prior notice

6.5 Opt-Out from Inquiries

• Suppliers who receive inquiries through the platform - including suppliers who are not registered users - may request to stop receiving such communications at any time by contacting support@easyevents.co.il, and Easy Events will honor such requests

7. Guest Data and Messaging Responsibility

When using the Platform to manage guest lists and send invitations:

• You (the Event Organizer) are solely responsible for obtaining proper consent from each guest before uploading their personal information (name, phone number) to the Platform. You represent and warrant that you have obtained such consent in accordance with the Protection of Privacy Law, 5741-1981
• By using our invitation sending features (WhatsApp, SMS), you confirm that each recipient has consented to receive messages from you regarding your event, in compliance with the Communications Law (Telecommunications and Broadcasting), 5742-1982, Section 30A (the "Anti-Spam Law")
• You are responsible for the accuracy of all guest data you upload. Easy Events is not responsible for messages sent to incorrect phone numbers or unintended recipients due to inaccurate data provided by you
• The messaging features are provided solely for event-related communications (invitations, RSVP tracking, event updates). You may not use them for commercial advertising, marketing, or any purpose unrelated to your event
• Easy Events acts solely as a technology provider for message delivery. We are not responsible for the content of messages you send, delivery failures due to network conditions, or any claims arising from your messages
• Message delivery rates and success are not guaranteed. Factors including but not limited to carrier restrictions, recipient device settings, and network availability may affect delivery

8. AI-Powered Services

The Platform offers AI-powered features including invitation design generation and contract analysis. By using these features, you acknowledge and agree:

• AI-generated contract analyses are provided for informational purposes only and do NOT constitute legal, financial, or professional advice. You should always consult a qualified professional (attorney, accountant) before making decisions based on AI analysis
• We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. AI outputs may contain errors, omissions, or inaccuracies
• You are solely responsible for reviewing, verifying, and approving all AI-generated content before using or distributing it
• Content submitted to AI features (event details, uploaded documents) is processed by third-party AI services (Google Vertex AI). Data may be transferred to servers located outside of Israel for processing. While we take contractual and technical measures to protect your data in accordance with Israeli data transfer requirements, you should avoid submitting highly sensitive personal information unnecessarily
• AI-generated invitation designs are provided for your personal event use. We make no representations regarding the uniqueness or copyright status of AI-generated visual content
• We may update, modify, or discontinue AI features at any time without prior notice

9. Acceptable Use

You agree to use the Platform lawfully and ethically. You may not:

• Infringe on the intellectual property rights, privacy rights, or other rights of any third party
• Upload or transmit content that is offensive, defamatory, obscene, threatening, or otherwise objectionable
• Attempt to gain unauthorized access to, interfere with, or disrupt the Platform or its servers, networks, or security features
• Use the Platform for spam, phishing, fraud, or any deceptive or illegal purpose
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Scrape, crawl, or use automated means to access the Platform or extract data without prior written consent
• Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Platform
• Use the messaging features to send unsolicited commercial messages in violation of the Anti-Spam Law (Section 30A of the Communications Law)
• Circumvent, disable, or interfere with any security or access-control features of the Platform
• Use the Platform in any manner that could damage, overburden, or impair the Platform or interfere with other users' access

Violation of this section may result in immediate suspension or termination of your account without prior notice.

12. Payments, Subscriptions, and Refunds

Some Platform features require a paid subscription. For paid services:

12.1 General Payment Terms

• Prices are displayed in New Israeli Shekels (NIS). Event plan prices (capacity, extra rounds) — VAT included. Supplier plan and credit prices — VAT not included; VAT will be added at checkout as required by Israeli law
• Payment is collected in advance at the time of purchase unless otherwise stated
• Payment processing is handled by third-party payment providers. By making a payment, you agree to the applicable payment provider's terms of service
• We reserve the right to change prices at our discretion. Price changes do not affect active subscriptions until renewal. We will provide 30 days' notice before price changes take effect for renewing subscriptions
• We will issue invoices/receipts for all transactions in compliance with Israeli tax law

12.2 Event Plans

• Event plan subscriptions are tied to a specific event, not to your user account
• You may cancel within 14 days of purchase in accordance with the Consumer Protection Law, 5741-1981, and the Consumer Protection Regulations (Cancellation of a Transaction), 5771-2010
• Cancellation is subject to a fee of 5% of the transaction price or ₪100, whichever is lower
• A full refund (less the cancellation fee) will only be granted if no platform services have been used, including: sending messages (WhatsApp, SMS, email) or using AI tools (contract analysis, invitation design). Once these services have been used, the service is considered substantially performed and the right to a refund is limited

12.3 Supplier Subscriptions

• Supplier subscriptions are tied to the supplier account
• Monthly subscription cancellation takes effect at the end of the current billing period. No pro-rata or partial refunds are issued for the current billing month, as platform services - including ranking boosts, promotional placement, homepage carousel visibility, credit allocations, and competition analytics - are provided continuously throughout each billing cycle and are deemed fully rendered upon commencement of the period
• Easy Events reserves the right to modify supplier plan features and/or pricing at any time
• Existing subscribers will receive at least 14 days' advance notice of any upcoming changes to plan features or pricing via email or in-platform notification
• Updated plan terms and pricing will take effect automatically upon the first billing renewal that occurs after the 14-day notice period has elapsed. Until that renewal, the existing plan terms remain in effect
• New suppliers subscribing after the change announcement will immediately be subject to the updated plan terms and pricing
• If an existing subscriber upgrades or downgrades their plan during the 14-day notice period, the new plan will be subject to the updated terms and pricing immediately, the same as a new subscription

12.4 Supplier Credit Packages

• Separately purchased credit packages (not monthly allocated credits) may be refunded within 14 days of purchase, provided none of the purchased credits have been used
• Such refund is subject to a cancellation fee of 5% of the transaction price or ₪100, whichever is lower
• Monthly credits included in the subscription plan are not eligible for separate refund
• Credits have no monetary value outside the Platform and cannot be transferred, exchanged, or cashed out

12.5 Cancellation Process

• Cancellation requests will be processed within 7 business days
• Refunds will be issued to the original payment method within 14 business days of approval

15. Indemnification

You agree to indemnify, defend, and hold harmless Easy Events, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with:

• Your use or misuse of the Platform
• Your violation of these Terms or any applicable law
• Your violation of any rights of a third party, including intellectual property or privacy rights
• Content you upload or transmit through the Platform
• Messages sent through the Platform's messaging features
• Any dispute between you and a Supplier or between you and any Guest
• Your failure to obtain proper consent for guest data or messaging

This indemnification obligation shall survive the termination of these Terms and your use of the Platform.

Easy Events shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, cyber-attacks, pandemic, government actions, power outages, internet or telecommunications failures, or failures of third-party service providers.

21. Governing Law and Dispute Resolution

Easy Events may assign, transfer, or delegate its rights and obligations under these Terms to any third party, including in the event of a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without your prior consent but with notice to you. You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.

23. Waiver

No failure or delay by Easy Events in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. A waiver of any right on one occasion shall not be construed as a waiver of any right on any subsequent occasion.

24. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

25. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and Easy Events regarding your use of the Platform. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, relating to the Platform.

26. Accessibility

Easy Events is committed to making the Platform accessible to people with disabilities in accordance with the Equal Rights for Persons with Disabilities Law, 5758-1998, and the Equal Rights for Persons with Disabilities Regulations (Service Accessibility Adjustments), 5773-2013.
